Business Expo Registration

Businesses interested in selling items/beverages/food that are not prepackaged, or require on-site preparation, need to use the restaurant application as health codes and different booth fees apply.

The following are the procedures for Rotary GroveFest Business Expo registration:

Rotary GroveFest Business Exhibitor Agreement:
1) Participation will be on June 22 - June 24, 2018

  • Business Expo Hours:
    • Friday, June 22 from 12:00 p.m. to 10:00 p.m.
    • Saturday, June 23 from 12:00 p.m. to 10:00 p.m.
    • Sunday, June 24 from 12:00 p.m. to 10:00 p.m.

2) There are approximately 25 spaces available.
3) Fees:
    $500.00 fee for businesses located within Downers Grove or
    $750.00 fee for businesses located outside Downers Grove.

This fee covers all 3 days and helps to offset the cost of:

  • A 10’ X 10’ covered tent.
  • Electrical Hook-up
  • Village of Downers Grove Fees
  • Daily Garbage Removal and Disposal

4) Registration will remain open until all spots are filled or until 30 days prior to the event.

5) Businesses must provide a certificate of insurance which indicates that the business has no less than  the below (or such lesser amount as the Rotary Club of Downers Grove may agree to, in its sole discretion) within 7 days of submitting registration.

  • $1,000,000 per accident.
  • $2,000,000 general liability

Said certificate shall name the Rotary Club of Downers Grove, Illinois, Inc., its directors, officers, employees, agents, its heirs successors and assigns as well as the Village of Downers Grove, its officers, boards, commissions, elected and appointed officials, employees, agents, and its heirs successors and assigns as additional insured on such policy.

As respects operations of applicant and for the negligence of the insured only. Said policy shall provide that it not be canceled or materially changed without sixty (60) days written notice to both the Committee and the Village of Downers Grove. Additionally, applicant shall execute and provide to the Village of Downers Grove any such document, including but not limited to a general release, which the Village may require in order for the Rotary Club of Downers to comply with the Villages license agreement for temporary use.

This agreement is made between the Rotary Club of Downers Grove and the Business as stated in Item I hereof (the “Participant”);

WHEREAS, the Rotary Club of Downers Grove has organized a community festival known as the Rotary Grove Fest; and
WHEREAS, the Rotary Club of Downers Grove has taken booth applications and assigned entities and other groups to designated booth spaces; and
WHEREAS, all individual booth spaces have been designated such that there are no more available.
NOW, THEREFORE, in consideration of the foregoing recitals and of the covenants and conditions contained herein, the parties hereby agree as follows:

SECTION 1. Obligations of the Rotary Club of Downers Grove
a) The Rotary Club of Downers Grove provide assigned space for the distribution of literature pertaining to the organization.

SECTION 2. Obligations of the Participant
a) Pursuant to Ordinance 4545, Participant cannot sell, display, distribute, or exhibit any approved product or other information at the Festival except from the assigned booth space.
b) Participant is expected to conform to guidelines for operation as set forth in Rotary Grove Fest Rules & Regulations

SECTION 3. Rotary Club of Downers Grove’s Right to Regulate
The Rotary Club of Downers Grove reserves the right to regulate or terminate Participant’s activity, with respect to such activities that are in conflict with the nature of the festival, threatening to the public health, safety, or welfare.

SECTION 4.
Hold Harmless and Indemnification
a) The Participant agrees that neither the Rotary Club of Downers Grove nor any other public or private property owners whose property is utilized for the Festival shall be liable for injury or damage to the property of the Participant, its employees, invitees, customers, or any other person in or around the Participant’s booth, regardless of whether the injury or damage results from conditions arising from other sources or places, including power outages and other similar occurrences, and regardless of whether the cause or means of repairing the conditions are inaccessible to the Participant.  The Participant further agrees that neither the Rotary Club of Downers Grove nor and other public or private property owner whose property is utilized for the Festival shall be liable for any damages arising directly or indirectly form any act or omission of the Rotary Club of Downers Grove or any Participant or customer of the Festival.
b) To the fullest extent permitted by law, the Participant shall indemnify, keep and save harmless the Rotary Club of Downers Grove and its agents, officers and any other public or private property owner whose property is utilized for the Festival, against all injuries, deaths, losses, damages, claims, suits, liabilities, judgments, costs, and expenses, which may arise directly or indirectly from any negligence or reckless or willful misconduct of the Participant, its employees or agents.  The Participant shall at its own expense, appear, defend and pay all charges of attorneys and all costs and other expenses arising there from or incurred in connection therewith. If any judgment shall be rendered against the Rotary Club of Downers Grove in any such action, the Participant shall, at its own expense, satisfy and discharge the same.
c) Approved Participants must provide a certificate of insurance which indicates that the Participant has no less than $5,000,000 of liability coverage (or such lesser amount as the Rotary Club of Downers Grove may agree to, in its sole discretion) 15 days prior to the event. As respects operations of Participant and for the negligence of the insured only. Said policy shall provide that it not be canceled or materially changed without sixty (60) days written notice to both the Committee and the Village of Downers Grove. Said certificate shall name the Rotary Club of Downers Grove, Illinois, Inc., its directors, officers, employees, agents, its heirs successors and assigns as well as the Village of Downers Grove, its officers, boards, commissions, elected and appointed officials, employees, agents, and its heirs successors and assigns as additional insured on such policy.  Additionally, Participant shall execute and provide to the Village of Downers Grove any such document, including but not limited to a general release, which the Village may require in order for the Rotary Club of Downers to comply with the Villages license agreement for temporary use.

SECTION 5. Assignment of Rights
The Participant’s interests, rights, and responsibilities under this Agreement may not be transferred or assigned.

SECTION 6. Nonconformance
Failure to comply with Festival guidelines will cause the participant to forfeit the deposit and may prohibit participation any subsequent festivals, street fairs, or other community events by the Rotary Club of Downers Grove. 

SECTION 7. Cancellation or Suspension of Festival
The Festival may be cancelled or suspended without notice in the event of threat to the public health, safety, or welfare, as may be determined in the sole discretion of federal, state or local officials charged with making such determinations. The Rotary Club of Downers Grove shall not be liable to the Participant for any losses incurred by reason of such cancellation or suspension.

SECTION 8. Governed by Illinois Law
This agreement shall be governed as to performances and interpretation in accordance with the laws of the State of Illinois.

SECTION 9. Illegal or Unenforceable Provision, Term or Part of Agreement

In the event that any part, term, or provision, contained on both sides of this Agreement shall be determined by any court of competent jurisdiction to be illegal or unenforceable for any reason whatsoever, the remaining portions of the Agreement shall remain valid and enforceable between the parties in accordance with their terms.

SECTION 10. Failure to perform. The participant agrees that all moneys deposited with the Rotary Club of Downers Grove are non-refundable, and that any failure on the participant’s part to comply with this agreement shall be a breach of this agreement, and the Rotary Club of Downers Grove will be entitled to cancel the agreement and retain all moneys deposited as liquidated damages for the participant’s failure to comply with this agreement.
